Phoenix Services, LLC, based in Houston, Texas, is a provider of fluids management and well site services in support of drilling, completion and production services for the oil and gas industry The Company’s operations are located primarily in New Mexico, Oklahoma and Texas.

‍The Challenge

Defendant, a minority shareholder, was involved in a shareholder dispute with Phoenix Services (plaintiff), a former employer, in which he maintained an equity ownership stake. Defendant desired to exercise his buyout provision and Plaintiff disagreed with Defendant’s valuation.

The Solution

Defendant and defendant’s counsel engaged Wilcox Investment Bankers to act as consulting expert and provide a comprehensive and defensible report containing an opinion of Fair Market Value of Defendant’s equity ownership.  

Parties ultimately reached an agreement for the equity buyout substantially in favor of Defendant.
